Fluidstack leases power-ready halls, gets Google to backstop those leases so the landlord can raise project debt, and sells GPU hours to AI labs. Cash starts when the hall is delivered, not when the lease is signed.

`NEOCLOUDS` · `Data as at 14 Oct 2026` · `Next update: after a dated commencement or RFS print on Lake Mariner, Barber Lake, or Abernathy`
**Affects:** Neoclouds · Hyperscalers · US

It is a [neocloud](https://www.sotkn.com/stack/neoclouds/): a specialist GPU cloud that sells cluster time rather than a full hyperscaler platform. The distinctive cash job is a Google-backstopped hall lease, not a delayed-draw GPU loan. See [neocloud, explained](https://www.sotkn.com/explained/neocloud-explained/) and [who finances GPU clusters](https://www.sotkn.com/explained/who-finances-gpu-clusters/).

**In short:** Fluidstack is a private AI cloud. It signs 10- to 25-year hall leases, Google LLC backstops them so project debt can be raised, and Fluidstack sells the compute to labs. Lake Mariner is about 360 MW of critical IT and $6.7bn of contracted landlord revenue, halls due in 2026, Google wrap about $3.2bn. The lease is signed. Delivery still binds.

Status chips in the last column are Second Order's read. Full sources at the end.

**Our arithmetic.** Summing the three critical-IT prints gives **735 MW** leased (360 + 207 + 168). That is not live megawatts and not a Fluidstack 10-Q. Lake Mariner’s $6.7bn over 10 years is about **$670m a year** if every hall delivers and Fluidstack pays (6.7 ÷ 10 = 0.67), or about **$1.86m per MW-year** (6.7 ÷ 360 ≈ 0.01861). Cipher’s first 168 MW at $3bn is about **$17.9m per MW** over 10 years. Abernathy’s $9.5bn on 25 years is about **$380m a year** to the joint venture (9.5 ÷ 25 = 0.38). Do not add $6.7bn, $3.83bn and $9.5bn into one Fluidstack revenue number. They are landlord contracted payments that start on delivery.

## What does Fluidstack actually do?

Three steps, in order.

1. **It sells GPU cloud to AI labs.** Named counterparties on company pages include Poolside and Character.AI ([Fluidstack / Business Wire, 25 Mar 2025](https://www.businesswire.com/news/home/20250325464584/en/Fluidstack-to-Deploy-Energy-Efficient-Exascale-GPU-Clusters-in-Europe-in-Collaboration-With-Borealis-Data-Center-Dell-Technologies-and-NVIDIA?ref=sotkn.com)). Macquarie names Meta, Poolside and Black Forest Labs ([Macquarie](https://www.macquarie.com/uk/en/insights/accelerating-investment-in-compute-infrastructure-for-fluidstack-a-leading-ai-cloud-platform.html?ref=sotkn.com)). That is [GPU as a service](https://www.sotkn.com/explained/gpu-as-a-service-explained/). There is no dated GAAP sales line.
2. **It leases the hall — it does not have to own the campus.** TeraWulf’s August 2025 leases put Fluidstack USA I Inc. in as tenant at Lake Mariner. Cipher’s Barber Lake leases put Fluidstack USA II Inc. in as tenant. Abernathy put Fluidstack USA III Inc. in as tenant of a joint-venture landlord. The landlord builds; Fluidstack takes the premises on completion. That is the colocation seat on [hyperscale vs colocation](https://www.sotkn.com/explained/hyperscale-vs-colocation-data-center/). TeraWulf’s 8-Ks are explicit: Fluidstack’s obligation to pay under each Lake Mariner lease **begins on the completion date** and runs 10 years. Abernathy runs 25 years from delivery, with options to shorten to 20 or 15.
3. **Google backstops the lease so the hall can be financed.** Each US campus above carries a recognition agreement among the landlord, Fluidstack, and Google LLC. TeraWulf’s 28 October 2025 8-K: if Fluidstack misses payments or hits an insolvency event, Google may terminate and pay a fee, or pay the amounts due and **assume the lease as tenant at a discounted rate**. The Abernathy wrap is **$1.3bn**, starts on commencement, and amortizes over 10 years. Lake Mariner and Barber Lake use the same wrap, with warrants in the landlord as Google’s equity seat. The backstop is not a cheque to Fluidstack. It is a credit wrap for project debt. See [who finances GPU clusters](https://www.sotkn.com/explained/who-finances-gpu-clusters/).

| Step | What it means | Where the risk sits |
| ------- | --------------------------------------------- | -------------------------------------- |
| Sign | 10- or 25-year hall lease; Google wrap | Offtake behind Fluidstack |
| Finance | Landlord raises project debt against the wrap | Coupon runs; wrap live at commencement |
| Deliver | Hall handed over; lease payments begin | Construction, power, RFS |
| Bill | Labs pay for GPU hours | Utilisation, after the hall exists |

The Abernathy 8-K says the campus would serve “a global hyperscale AI platform developing frontier-scale foundation models” through Fluidstack. That offtaker is not named. Do not back-solve it from Google’s warrants, or from Fluidstack’s later water note with Anthropic at Colorado City.

## How does Fluidstack make money?

It gets paid when labs run hours on clusters in halls it has already taken. Three things decide whether the model clears:

- **Delivery** — a signed lease earns nothing until handover
- **The wrap** — Google’s backstop lets the landlord’s lenders treat Fluidstack’s private credit as financeable; it becomes effective on commencement
- **The spread** — what labs pay, minus lease payments, power, and GPUs

Who gets paid, in order. Construction vendors, while the hall is built. The landlord — TeraWulf, Cipher, the Abernathy JV — from completion. Project lenders, from those lease payments, with Google behind Fluidstack. Google is paid in **warrants** (\~14% pro forma TeraWulf after CB-5; \~5.4% pro forma Cipher), not GPU invoices. GPU sellers, when Fluidstack buys kit. Fluidstack keeps what is left. Who waits: anyone reading $6.7bn as 2026 Fluidstack revenue. That figure is landlord contracted payments.

On 6 July 2026 TeraWulf sold its 50.1% of Abernathy to an investor group led by Fluidstack for about **$530m**, after about **$450m** invested. That is Fluidstack (with co-buyers) stepping into the landlord equity. It does not move the delivery date. The original 8-K still pointed to the second half of 2026.

Money sticks at accepted, live capacity. The landlord filings do not call Fluidstack’s lab offtake [take-or-pay](https://www.sotkn.com/explained/take-or-pay-gpu-contracts-explained/), so we do not invent it. The dated bind is earlier: **lease payments and the Google wrap both wait on commencement.** See [What Does Google Do?](https://www.sotkn.com/stack/hyperscalers/what-does-google-do/).

## What limits it?

Delivery first. The wrap second. Disclosure third.

1. **A signed megawatt is not a live hall.** TeraWulf printed \~40 MW at Lake Mariner in the first half of 2026, the rest of the original 200+ MW by year-end 2026, and CB-5 in the second half of 2026\. Abernathy was also second half of 2026\. Cipher’s 20 November 2025 8-K expected Barber Lake Phase I by September 2026 and Phase II in January 2027\. As of this desk we do not have a dated commencement print that those halls are live and billing. Members’ [Cipher hall-clock Analysis](https://www.sotkn.com/analysis/cipher-barber-lake-hall-clock-stuck-step-what-price-assumes/) (13 Oct 2026) still treated Barber Lake as signed, not handed over. Same delivery bind as [speed-to-power](https://www.sotkn.com/explained/speed-to-power-explained-for-investors/) on the [US door](https://www.sotkn.com/markets/us/).
2. **The Google wrap is not cash in the hall.** It supports project debt. The Abernathy 8-K says it becomes effective on commencement and amortizes over 10 years. A delay in RFS delays the wrap. Google’s option on default is a termination fee or stepping into the lease — not shipping GPUs.
3. **Fluidstack is private.** No dated GAAP revenue, utilisation, or GPU-hour book. The $830m Series A is equity. Cameron County’s $4bn first phase, planned to support up to 1.5 GW (21 Sep 2026), is a construction note. It is not a Google-backstopped lease and it is not 1.5 GW of offtake.
4. **Concentration sits in two places.** Named labs, plus one unnamed hyperscale offtaker at Abernathy, and Google on the wrap. If offtake shrinks, the landlord still has the lease — and Google’s option to assume it. Texas interconnect is a separate clock on Barber Lake and Abernathy; see [$50,000 a megawatt](https://www.sotkn.com/markets/us/us-texas-large-load-rule-october-2026/).

The honest uncertainty is conversion. $6.7bn at Lake Mariner and a $3.2bn wrap can still miss 2026 cash if CB-3, CB-4 and CB-5 miss completion.

What separates them is who owns the hall, who wraps the credit, and whether cash is prepaid, borrowed against GPUs, or borrowed against a Google-backed lease. Fluidstack’s dated print is the wrap. The stuck print is commencement.

## What would change this view?

The read on the model weakens if:

- No dated RFS or “lease payments have begun” print for Lake Mariner, Barber Lake, or Abernathy through 2026
- Construction or power slips those campuses into 2027
- Google declines to assume a lease, or the wrap fails to close project debt
- A named offtaker walks with no replacement
- GPU-hour revenue still lags landlord payments after handover — [rent before hours](https://www.sotkn.com/stack/neoclouds/)
- The next equity round prices well away from the $7.5bn January 2026 print

It stays intact while the US leases remain signed, Google remains on the recognition agreements, and conversion still waits on delivery.

## Practical takeaways

- Model: Sign → Wrap → Deliver → Bill. Labs pay for hours only after handover
- Lake Mariner: \~360 MW, $6.7bn / 10 years, Google \~$3.2bn. Our arithmetic: \~$670m a year if it delivers, \~$1.86m per MW-year
- Barber Lake: 207 MW critical IT, \~$3.83bn / 10 years, Google $1.73bn
- Abernathy: 168 MW, \~$9.5bn / 25 years, Google $1.3bn; TeraWulf sold 50.1% for \~$530m on 6 Jul 2026
- Series A $830m at $7.5bn (January 2026). Cameron County $4bn / 1.5 GW is a construction note
- The stuck step is commencement, not another signed campus

## FAQ

**What does Fluidstack do?**
Fluidstack is a private AI cloud. It leases high-density halls, sells GPU cluster time to labs, and uses Google LLC recognition agreements to backstop those leases so landlords can raise project debt. Payments start when the hall is delivered.

**What does Fluidstack do in simple terms?**
It rents AI computers to labs, in halls it has leased. Google stands behind the hall lease so lenders will fund the building. Nobody is paid for those megawatts until handover.

**Is Fluidstack profitable?**
We do not know on a reported GAAP basis. Fluidstack is private. The dated prints are landlord megawatts, contracted lease payments, Google backstop sizes, a $830m Series A, and a $4bn Texas construction note — not an income statement.

**How is Fluidstack different from CoreWeave?**
Both sell specialist AI compute. CoreWeave is public and prints revenue, backlog, debt and live megawatts. Fluidstack’s US print is as tenant of Google-backstopped halls. See [What Does CoreWeave Do?](https://www.sotkn.com/stack/neoclouds/what-does-coreweave-do/).

**What is a Google lease backstop?**
A recognition agreement under which Google LLC covers certain Fluidstack lease obligations so the landlord can raise project debt. On Abernathy, Google may terminate and pay a fee, or assume the lease at a discounted rate, if Fluidstack defaults. The wrap is $1.3bn, effective on commencement. It is not a payment to Fluidstack.

**Should I buy Fluidstack shares?**
We do not make buy or sell calls, and nothing here is a recommendation. Fluidstack is private. What we can tell you is what it does, how it gets paid, and which figures would change the picture. The decision is yours.

## How we check this

Figures come from TeraWulf and Cipher filings and from Fluidstack’s own notes, dated below. Fluidstack is private; there is no 10-Q in this file. The $670m-a-year and $1.86m-per-MW-year lines are our arithmetic on TeraWulf’s $6.7bn / 360 MW / 10-year print. Secondhand valuation talk not on Fluidstack’s site is dropped.
