- Description: Liberty Energy signed a 1.2 GW data center power agreement with an unnamed frontier AI lab, which prepays hundreds of millions of dollars before the first 500 MW contract is signed. Power arrives from late 2027, and Liberty still owes $1.6 billion on generators.

An AI lab is paying for power it will not draw until late 2027\. On **21 October 2026** Liberty Energy, a US fracking services company that also builds on-site gas power, said its power unit had signed a development agreement with a leading frontier AI lab and a dedicated infrastructure platform for **1.2 GW** of integrated power services at data center campuses. The customer pays a capacity-fee prepayment that Liberty's finance chief put at **hundreds of millions of dollars**, before the first power contract is signed. That first contract, for about **500 MW**, is targeted for December 2026\. Energisation runs from the fourth quarter of 2027 to the first quarter of 2029\. On the [AI Data Centers layer](https://www.sotkn.com/stack/ai-data-centers/), that is cash in hand for the power supplier and a long wait for the hall it feeds.

## What happened

The deal

**A development agreement for 1.2 GW of integrated power at data center campuses**

Signed by Liberty Power Innovations with a frontier AI lab and an infrastructure platform. Neither is named

The cash

**A capacity-fee prepayment of hundreds of millions of dollars, due in the near term**

Liberty's chief executive said it is not contingent on signing the first power contract. It is spread over about the first five years

The contracts

**A first energy service agreement of about 500 MW targeted by December 2026**

Each later contract attaches to one building. The ESA term contemplated is 15 years, with a renewal option

The clock

**Energisation phased from the fourth quarter of 2027 to the first quarter of 2029**

Liberty has $1.6 billion still to pay on $2.1 billion of generation equipment it ordered this year

## Why cash cares

The prepayment changes who carries the early risk. Liberty has been buying generators ahead of contracts. Its 10-Q, filed on 22 October, says it signed supply contracts this year for engines, balance-of-plant equipment and related services worth about **$2.1 billion**, with **$1.6 billion** still to pay at 30 September. Those payments fall due as equipment is scheduled, delivered, tested and handed over, from 2027 through 2030\. Capital deposits on its balance sheet rose from **$116 million** at the end of 2025 to **$652 million** at 30 September.

Those long-lead orders were funded initially by about **$1.3 billion** of zero-coupon convertible bonds Liberty sold in the first quarter. At 30 September it had **$119 million** of cash and **$669 million** of total liquidity. Now the AI lab is putting its own money in first. Liberty's chief executive said the prepayment is not contingent on the first energy service agreement, and its finance chief called it "a form of commitment from the client for the whole 1.2 gigawatts". It sits on the balance sheet as deferred revenue and is recognised against capacity payments over about the first five years.

The finance plan behind it runs in steps. Once an energy service agreement is signed, the equipment drops into a project company. That company raises project debt, which Liberty is targeting at about **80%** debt and **20%** equity, and repays Liberty for what it has spent. Liberty's finance chief said that financing could take three to four months after a contract is signed.

Here is our own arithmetic, not a company figure. The first contract covers about **42%** of the 1.2 GW, so about **700 MW**, or **58%**, still needs later contracts. The 1.2 GW is **40%** of the roughly 3 GW of generation Liberty says it can have energised by the end of 2029\. The **$1.6 billion** still owed on equipment is about **2.4 times** its total liquidity and about **13 times** its cash. About **$0.5 billion** of the $2.1 billion of orders has already been paid or settled. Capital deposits rose about **5.6 times** in nine months. A prepayment spread over five years of a 15-year contract is front-loaded into the first third of the term. If the first contract is signed in December and financing takes three to four months, the project debt would land around March or April 2027, still six months or more before first power.

**Figure: Paid before it is built.** The 1.2 GW agreement split into the first targeted contract and the later ones, set against Liberty's equipment commitments and liquidity at 30 September 2026\. The splits and ratios are our arithmetic on Liberty's results release and 10-Q of 21 and 22 October 2026.

## The step that is still open

Signed contracts, building by building. Liberty's chief executive said AI campuses tend to go up in blocks of roughly 300 to 500 MW of IT load, and each energy service agreement attaches to a single building. So the 1.2 GW becomes bankable only as each building's contract is signed, financed and its generators are installed and running. The first is a target, not a signature. Asked whether it could slip into early 2027 as data centers become a political issue, the chief executive said Liberty was confident of signing by December, while adding that it cannot predict the coming weeks and months.

Cash is moving first. Power follows the contracts, and the contracts follow the buildings.

## The second-order read

**Who gets paid.** Liberty, first: hundreds of millions of dollars of prepaid capacity fees before a contract is signed, plus 15-year fees once each block energises. Its engine and balance-of-plant suppliers, from the $1.6 billion still owed. Project lenders, once each contract is signed.

**Who pays.** The unnamed AI lab and its infrastructure partner, up front, for power from the fourth quarter of 2027.

**Who waits.** The AI lab's halls, which need that power to run. Liberty's convertible bondholders, until project debt repays the corporate spending. The roughly 700 MW beyond the first contract, until later buildings are committed.

**Stuck step.** Signing the building-level power contracts, then financing and energising each one on schedule.

## Three cautions

The customer is unnamed. Neither the AI lab nor the infrastructure platform is identified, so its credit quality and campus locations cannot be checked.

The amount is vague. "Hundreds of millions" is management's description. Liberty has not given an exact prepayment figure, and the 1.2 GW is not defined as generation nameplate or IT load.

Not all orders are for this deal. Liberty has not said how much of the $2.1 billion of ordered equipment is tied to this agreement rather than to its wider pipeline.

## What to watch

- **December 2026**: whether the first energy service agreement, about 500 MW, is signed on target.
- **Fourth-quarter results**: receipt of the prepayment and how it shows in deferred revenue and cash.
- **Project financing**: the first project company debt deal, its size and lenders, about three to four months after a signed contract.
- **Customer and site**: whether the AI lab, the platform or the campuses are named.
- **Fourth quarter 2027**: first energisation on the agreed schedule.
