`WIRE` · `NEOCLOUDS` · `US` · Reported 29 to 31 Oct 2026 (US)

Nvidia is in talks to guarantee billions of dollars of construction debt for **Nscale's** West Virginia data centre, the one Anthropic has signed to rent, The Information reported on 29 October and Bloomberg confirmed the same day. Nothing is signed. The contract for the first building is worth up to **$44.6 billion**, but Nscale says in its own filing that it has not yet raised the money to build or equip it, and Anthropic can walk away if that money misses a deadline. On the [Neoclouds layer](https://www.sotkn.com/stack/neoclouds/), the customer is signed. The building loan is not, and the chip supplier is now offering its own name to get it done.

## What happened

The talks

**Nvidia may back the value of Nscale's first 460 MW building at the Monarch campus**

A residual value guarantee: if Nscale misses construction payments, Nvidia steps in, runs the site for a time and helps find a buyer and a new tenant. Terms could still change

The contract it protects

**Up to $44.6 billion from Anthropic for the first building, about six years, on Vera Rubin chips**

The Financial Times puts it at more than 40% of Nscale's $103 billion revenue backlog. A second building worth about $45 billion is in talks

The company behind it

**A $1.0 billion net loss on $141 million of revenue in the first half of 2026**

About 25,000 advanced AI chips were running in August, against nearly 500,000 planned. The IPO is now leaning to December

Nvidia's book

**About $170 billion of investments and credit support to neoclouds and big customers**

Including $1 billion of convertible financing committed to Nscale in September. Past support mostly covered leases and chip purchases, not construction

## Why cash cares

A signed contract is not a funded building. Anthropic's deal promises Nscale rent once the halls are built and the racks are running. Before that, someone has to pay for the steel, the gas engines and the Vera Rubin systems, and that money has to be borrowed. Lenders price that loan off the borrower. Nscale is the borrower, and on its own numbers it is a hard credit.

The gap is wide. The first contract works out to about **$7.4 billion** a year over six years, or about **$97 million** per megawatt, on our arithmetic. Nscale's first-half revenue of $141 million, run for a full year, is about **$0.28 billion**. One customer's contract is worth about **26 times** the company's current yearly sales, and the company lost about **$7 for every $1** of revenue in the half. About 25,000 chips were live in August, roughly **5%** of the fleet it plans. That is the profile lenders are being asked to fund.

The usual routes are narrowing. The Wall Street Journal reported that neoclouds such as CoreWeave, Nebius and Nscale have effectively been shut out of the bond market in recent weeks, and that Nvidia and other possible backers began demanding stricter terms after markets turned. Blackstone has warned investors that Anthropic itself may be rated below investment grade after its own IPO. So the tenant cannot lend its name easily either. The name left is the one selling the chips.

**Figure: The contract is signed; the loan is not.** Nscale's first-half 2026 revenue and net loss, Nvidia's convertible commitment, the first Anthropic contract, Nscale's revenue backlog and Nvidia's reported support across neoclouds. The per-year, per-megawatt, 26 times, 43% and 5% figures are our arithmetic on Nscale's filing and press reports.

## The step that is still open

Construction finance. Power at Monarch is planned from 864 gas-fired engines, the chips are chosen and the tenant has signed. What has not closed is the debt that pays for the building before the rent starts. Nscale's filing says the money for the first building is not yet in place, and Anthropic can terminate if it is not raised by a set date. A late tranche can also be cancelled without penalty, which we covered when the [second $45 billion building entered talks](https://www.sotkn.com/wire/nscale-anthropic-second-45b-460-mw-monarch-data-center-wire/).

A residual value guarantee closes that step by moving the risk. If Nscale stops paying the builders, Nvidia takes the site for a time and helps find a new owner and tenant. The lender's real exposure is then to Nvidia, one of the strongest balance sheets in the market. It is the same move Alphabet made with its [$48 billion of data centre backstops](https://www.sotkn.com/wire/alphabet-48b-data-center-backstops-wire/), one rung further down the stack: here the supplier, not the hyperscaler, signs.

## The second-order read

**Who gets paid.** Nvidia, first. A financed building is a Vera Rubin order that ships. The construction lenders get a loan priced off Nvidia's credit, and the contractors and engine suppliers at Monarch get paid on schedule.

**Who waits.** Nscale's would-be shareholders. Stricter terms from backers have already pushed the revised prospectus back, and some of its bankers have warned the listing is unlikely to reach the $30 billion to $35 billion valuation it targeted. Anthropic waits too, for capacity it cannot use until the halls are built.

**Who pays.** Nvidia shareholders carry the tail. A guarantee costs nothing until a customer fails, and then it lands on the balance sheet as a half-built data centre. Nscale pays in terms: fees, covenants or equity to the guarantor are likely, though none are reported.

**Stuck step.** Construction finance. The chips, the power plan and the tenant are in place. The loan needs a name lenders trust, and Nscale's is not yet that name.

## Three cautions

These are talks, not a deal. The Information and Bloomberg cite people familiar with the matter. Nothing is signed, the size of the guarantee is not reported beyond billions, and terms could change.

The $170 billion is a reported total across many customers and many kinds of support, from equity to lease backstops. It is not an exposure to Nscale and it is not an expected loss.

The contract arithmetic assumes the full $44.6 billion is earned evenly over about six years. The filing gives the value, the term comes from Bloomberg's August report, and any late tranche can be cancelled.

## What to watch

- **Nscale's revised prospectus**: whether it names Nvidia's guarantee, its size and its fees, and whether the listing holds in December.
- **The financing deadline**: the date by which Anthropic can walk away if the first building is not funded.
- **Nvidia's next 10-Q**: whether guarantees and other contingent support to customers show up as a separate line.
- **CoreWeave on 11 Nov and Nebius on 12 Nov (SGT)**: whether other neoclouds report the same squeeze on debt and the same turn to supplier support. See [contracted power explained](https://www.sotkn.com/explained/contracted-power-explained/).

Not investment advice. Do your own research. The $7.4 billion a year, $97 million per megawatt, $0.28 billion run rate, 26 times, $7 of loss per $1 of revenue, 43% backlog share and 5% of planned chips are our arithmetic.
