Vertiv customers prepay $4.1B for data center power gear

Vertiv's customers had prepaid $4.1 billion by 30 September, 3.6 times a year earlier, as organic orders more than doubled. Power and cooling gear between the grid and the rack is now a step AI data center builders pay to queue for, and their cash is funding Vertiv's inventory.

Vertiv's customers had paid it $4.1 billion in advance by 30 September, 3.6 times a year earlier, while organic orders more than doubled, which tells us the power and cooling kit that sits between the grid and the rack is now a step AI data center builders pay to queue for, with their cash funding Vertiv's inventory before the halls exist.

What happened?

  • The quarter: Vertiv Holdings, the US maker of power, cooling and related infrastructure for data centers, reported third-quarter 2026 results on 28 October 2026, before the US market opened. Net sales were $4.31 billion, up 61% from a year earlier. Organic growth, which strips out acquisitions and currency, was 55%.
  • Orders: Vertiv said organic orders grew more than 100% from a year earlier. It did not give an order value, a backlog figure or a book-to-bill ratio in the release.
  • Prepaid cash: Deferred revenue, money customers have paid before delivery, was $4.12 billion at 30 September. It was $1.81 billion at the end of 2025 and $1.13 billion a year earlier, according to the company's filings.
  • Guidance: Vertiv raised its full-year 2026 sales guidance by $650 million to a midpoint of $14.65 billion, and guided fourth-quarter sales to a midpoint of $4.41 billion, with organic growth of about 50%.
  • The power deal: A day earlier, on 27 October, Vertiv completed its purchase of UtilityInnovation Group, a microgrid and on-site power specialist, for about $1.45 billion in cash, plus up to $1.15 billion more if earnings targets are met over 12 and 24 months.

Why does it matter?

The direct signal: demand is running ahead of shipments. Sales grew 55% on an organic basis while orders more than doubled. When orders grow about twice as fast as sales, the queue for the product is getting longer, not shorter. The Americas carried the quarter: sales there rose 75%, or 66% organic, and made up 69% of the total on our arithmetic. Asia Pacific rose 50% and Europe, the Middle East and Africa rose 23%.

The second-order signal: customers are funding the factory. This is the part of the print that says the most about the AI build. Our arithmetic from the balance sheet:

  • Deferred revenue of $4.12 billion is worth about 96% of a full quarter's sales. Customers have paid for almost three months of output in advance.
  • It rose by about $2.31 billion in nine months. Inventory rose by about $1.83 billion over the same period, to $3.29 billion. Customer cash has more than covered the whole inventory build.
  • Accounts payable, money Vertiv owes its own suppliers, rose to $3.24 billion from $1.76 billion. Suppliers are also carrying part of the load.

Put together, Vertiv is building a large stock of switchgear, power systems and cooling units, and the bill is being paid mainly by the people who will install them. That is the same pattern we saw at Amkor this week in chip packaging, and at Liberty Energy in power supply, where an AI lab paid up front for 1.2 gigawatts of capacity. The scarce item is a slot on the production line, and buyers pay to hold it.

Margins are moving with the queue. Adjusted operating margin was 25.2%, up 2.9 percentage points. Vertiv credited higher volumes and factory productivity. Operating cash flow was $794 million and adjusted free cash flow $652 million.

What does it change?

Near term (to the end of 2026)

  • The pace of prepayments slowed in the third quarter. Our arithmetic from the filings: deferred revenue rose by about $647 million in the first quarter, $1.17 billion in the second and $490 million in the third. Prepaid cash is still at a record, but the third-quarter addition was the smallest of the year. Tonight's call is the first chance to hear why.
  • Spending is catching up. Capital spending was $139 million in the quarter, three times the $45 million a year earlier. Vertiv still expects about 4.0% of revenue for the full year; on the new sales guidance, our arithmetic puts that near $590 million.
  • The balance sheet is not the constraint. Vertiv holds $3.51 billion of cash, says it has $6.2 billion of liquidity and remains in a net cash position. Long-term debt was little changed at $2.93 billion.

Longer term (2027 and beyond)

  • Vertiv is moving upstream to the grid. UtilityInnovation Group designs microgrid controls, on-site generation and storage orchestration, and power systems that run beside or instead of the grid connection. Vertiv says the deal should help operators get power sooner "as grid constraints increasingly limit AI infrastructure deployment". The purchase price is about 13 times the target's expected 2027 earnings before interest, tax, depreciation and amortisation, according to Vertiv.
  • Cooling services are following density. On 26 October Vertiv also completed the purchase of King Environmental Services, a Dublin-based firm that commissions and maintains fluid systems in liquid-cooled data centers. Terms were not disclosed.
  • What we cannot see yet: how much of the $4.12 billion is tied to a few large customers, how long the order queue now stretches, and how firm the orders are. Vertiv's own risk list in the release names the unpredictable placing or cancelling of customer orders. The third-quarter Form 10-Q should give the updated customer and contract detail.

What should we watch next?

  • Vertiv's earnings call, 28 October at 11:00 Eastern time (23:00 Singapore time). Listen for an order value or backlog figure, the reason prepayments slowed in the third quarter, and any lead times for power and cooling systems. It is on our Catalyst calendar.
  • Vertiv's third-quarter Form 10-Q. Each of its last four quarterly 10-Q filings came on results day. It should show the deferred revenue roll-forward and any change to the cancellation language.
  • Microsoft and Alphabet results, after the US close on 28 October. Their capital spending plans are the demand behind Vertiv's queue. A cut would be the first sign that prepaid orders could be rescheduled.
  • What would weaken the catalyst: prepayments falling for a second quarter while orders slow, inventory rising faster than deferred revenue, or customers pushing deliveries into later years.

FAQ

What does Vertiv do?
Vertiv makes the equipment that keeps a data center running between the grid connection and the servers: switchgear, uninterruptible power supplies, power distribution, and the air and liquid cooling systems that carry heat away from AI chips. It also services that equipment over its life. It is headquartered in Ohio and sells in more than 130 countries.

What is deferred revenue, and why does it matter here?
It is money a customer has paid before the product is delivered. The company records it as a liability until it ships. When deferred revenue grows faster than sales, customers are paying earlier to secure their place, which is a sign the product is scarce.

Why buy a microgrid company?
Many AI data center sites have land and buildings but are waiting years for a grid connection. On-site generation and microgrid controls let an operator start with its own power and connect to the grid later. Vertiv is betting that selling that capability with its existing gear wins more of each project. Our explainer on who builds AI data centers covers who pays for each part of a site.

Does this mean the AI build is accelerating everywhere?
Not evenly. The Americas grew 66% on an organic basis, but Europe, the Middle East and Africa grew 19%. The prepayment pattern is strongest where the large US campuses are being built.

Takeaway: Vertiv's quarter shows AI data center builders paying for power and cooling gear months before delivery, and Vertiv using that cash, and a $1.45 billion power deal, to move closer to the grid connection that it says increasingly limits how fast AI capacity gets built.
