Meta launches $35B of equity, with a $60B ATM behind it
Meta launched about $35 billion of underwritten equity on 26 October, with a planned $60 billion ATM after Class C lists. The common cash does not arrive at close: the forwards settle by 19 November 2027.

Meta has opened the equity tap it built the Class C share for. On 26 October 2026 it launched about $35 billion of underwritten offerings: $22.5 billion of Class A common through forward sales, and about $12.5 billion of mandatory convertible preferred. Behind that sits a planned $60 billion at-the-market programme once Class C trades — a programme Meta has not agreed. Nvidia, AMD and Broadcom indicated, without a commitment, interest in up to $5.0 billion of the common. On the hyperscalers layer, the halls were already signed. Today is the cheque meant to keep paying for them. Most of the common cash does not arrive on closing day.
What happened
| Piece | Filed 26 Oct 2026 |
|---|---|
| Underwritten common | $22.5 billion of Class A, sold by forward sellers who borrow the stock. Meta does not expect cash at close. Settlement is Meta's choice, on or before 19 November 2027. |
| Common greenshoe | 30-day option for $3.375 billion more, also via extra forwards. Full exercise: $25.875 billion. |
| Convertible preferred | 250 million Series A depositary shares, each 1/20th of a preferred share with a $1,000 liquidation preference ($50 per depositary share). Sized at about $12.5 billion. Intended ticker: METAM. |
| Preferred greenshoe | 30-day option for 37.5 million more depositary shares. |
| ATM plan | About $60 billion after Class C trades. No agreement. "There can be no assurance" it is established. |
| Cornerstone | Nvidia, AMD and Broadcom, "severally and not jointly," indicated interest in up to $5.0 billion of Class A at the public price. Not a purchase agreement. |
| Last sale in the filing | Class A $642.62 on 23 October. Class A outstanding 2,214,455,318 as of 30 September. |
Proceeds, if they arrive, are for general corporate purposes in support of AI infrastructure and "personal superintelligence." 2026 capex is still $135–145 billion. The preferred converts, unless converted earlier, around 15 August 2029. Dividend rate and conversion collar are blank until pricing. Quarterly dividends, if declared, run from 15 February 2027 through that date, in cash, stock, or both.
Class C is the ATM pipe. The amended certificate, filed 21 October, takes effect 19 January 2027. On 19 October the board declared one Class C share for each Class A and Class B share, contingent on that date.
Why cash cares
Last week's 10-Q was the bill. This filing is the funding. Third-quarter free cash flow was negative $2.12 billion: $32.79 billion of operating cash against $34.91 billion of capex, including finance-lease principal. Cash, cash equivalents and marketable securities were $82.45 billion at 30 September. Another $10.80 billion of money-market funds is in escrow for infrastructure purchases until 2028–2030. Face value of long-term notes is $84.0 billion, including the $25.0 billion May issue that brought in $24.91 billion.
The same 10-Q still shows $355.73 billion of leases signed but not started, through 2036, and $454.52 billion of purchase commitments, with about $121.41 billion due in 2027. We covered the lease jump in Friday's Wire. Today's equity does not shrink those clocks.
Our arithmetic, not a company figure: at the $642.62 last sale the prospectus uses for dilution, $22.5 billion is about 35.01 million Class A shares. That matches the filing's post-settlement count of 2,249,468,234 — 1.58% of Class A, or 1.82% with the greenshoe. The $35 billion pair is 25% of the $140 billion midpoint of 2026 capex; the $95 billion plan would be 68% of one year's spend. None of it is cash today. The preferred can settle at close. The common waits on the forward. The ATM waits on Class C.
How a forward sale works
Morgan Stanley Capital Services LLC and Goldman Sachs & Co. LLC, as forward purchasers, have affiliates borrow Class A and sell it to the underwriters now. Meta is not issuing those shares on closing day and "does not expect to initially receive any proceeds." Later, on a date it picks on or before 19 November 2027, it is expected to deliver new Class A — or Class C in some cases — at an adjusted forward price, and take the cash then.
That is why "$22.5 billion of common" is not "$22.5 billion this week." It is a dilution clock that can run thirteen months. If a forward purchaser cannot borrow stock, Meta may have to issue and sell at close instead.
The preferred runs the other way. Meta issues the depositary shares. Net proceeds are meant to arrive at close, T+2 after pricing. They convert around 15 August 2029 off a 20-day average: more shares if the price is weak, fewer if it is strong. The collar is not in the document yet.
The second-order read
Who gets paid. Morgan Stanley and Goldman Sachs run both books. Builders, landlords and kit vendors, if the money reaches halls already signed. Preferred holders, a coupon through August 2029 once the rate is set. Chip vendors who buy the common get a customer that has just raised, and a shareholding in that customer.
Who pays. Existing holders, through dilution on the forward, on preferred conversion, and on any ATM. Class B still carries ten votes; Class C will carry none, so ATM stock need not hand votes to the market. Third-quarter interest expense was $977 million, against $227 million a year earlier.
Upstream. Nvidia, AMD and Broadcom sit on both sides of the invoice if they take up the indication: they sell Meta accelerators, and they may buy Meta stock to help fund the purchase. The interest is several, not joint; any of them "may determine to purchase more, fewer, or no shares." Treat $5.0 billion as a ceiling on a non-binding indication.
Downstream. Landlords on $355.73 billion of unstarted leases get a sponsor that has said operating cash is not enough. The 2027 commitment wall of $121.41 billion is still larger than the whole $35 billion underwritten package. The stuck step is the gap between a signed hall and settled cash: for the common, as late as 19 November 2027; for the ATM, not before Class C trades after 19 January 2027.
Two cautions
The $60 billion ATM is a plan, not a programme. Meta "has not entered into any agreement," and timing, size and terms "have not been determined." Take it out, and the live raise is the $35 billion pair; only the preferred is designed to put cash on the closing statement.
The offerings are not priced. Dividend, conversion collar and discounts are blanks. The cornerstone is not a purchase agreement. A wide discount, a walked indication, or cash settlement of the forward would all change the arithmetic above.
What would change the view
- A priced 8-K that fills the blanks without a deep discount to $642.62, with the cornerstone actually on the books.
- Class C delayed past 19 January 2027, which pushes the ATM and any Class C forward settlement with it.
- Alphabet and Microsoft on 28 October, and Amazon on 29 October, still funding capex from cash flow without an equity print. That would isolate Meta's tap as a Meta problem, not a layer-wide one.
- Forwards settled in cash, or an inability to borrow stock, which would pull issuance and cash into the same week.
What to watch
- Pricing, and the 8-K with the public price, preferred dividend, conversion collar, METAM listing, and whether Nvidia, AMD or Broadcom bought.
- 19 January 2027, Class C effective date, then the dividend record and payment dates the board has not set.
- Forward settlement through 19 November 2027, when the $22.5 billion is designed to become cash.
- Alphabet and Microsoft, 28 October after the close; Amazon, 29 October.
